These Terms & Conditions ("Terms") govern your access to and use of RKD ONE, a reporting and analytics platform (the "Service") provided by RKD Group ("RKD," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

RKD ONE provides reporting, analytics, and related insights for nonprofit marketing and fundraising programs. The Service is made available to client organizations and their authorized users under the terms of the applicable service agreement between RKD and the client organization. If there is a conflict between these Terms and a signed service agreement, the service agreement controls.

Access to the Service requires an authorized account. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use of your account. We may suspend or revoke access where we reasonably believe an account has been compromised or misused.

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Access or attempt to access data belonging to organizations you are not authorized to view
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to probe, scan, or test the vulnerability of the Service without authorization
• Reverse engineer, decompile, or attempt to derive the source code of the Service
• Resell, sublicense, or otherwise make the Service available to third parties without our consent

The Service may provide access to non-public information, including reports, analyses, and data belonging to your organization. You agree to use such information only for legitimate business purposes and to protect it from unauthorized disclosure, consistent with your organization's agreement with RKD.

The Service, including its design, software, features, and content provided by RKD, is owned by RKD and its licensors and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service other than the limited right to use it in accordance with these Terms.

As between you and RKD, your organization retains all rights to the data it provides to the Service. RKD uses such data to provide and improve the Service as described in our Privacy Policy and the applicable service agreement.

The Service is provided on an "as is" and "as available" basis. Reports, metrics, and insights are provided for informational purposes and depend on the quality and completeness of underlying data sources. To the fullest extent permitted by law, RKD disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, RKD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Service. Any liability of RKD arising under these Terms is subject to the limitations set forth in the applicable service agreement.

We may suspend or terminate your access to the Service at any time if you violate these Terms or where required by the applicable service agreement. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the jurisdiction specified in the applicable service agreement between RKD and your organization, without regard to conflict of law principles.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
